Section 3. Structure and Composition of the Institute

a. Board of Regents. The Institute of Masonic Education and Studies (IMES or the Institute) shall have a Board of Regents numbering seven (7) that shall be composed of the following:

(1) The MW Grand Master, (2) The RW Deputy Grand Master, (3) The RW Senior Grand Warden, (4) The RW Junior Grand Warden, (5) The MW Grand Treasurer, (6) The MW Grand Secretary, and (7) The President of the Institute

b. Chairman. The MW Grand Master shall be the Chairman of the Board of Regents and shall preside at all meetings of the Boards, provided that in his absence, the Deputy Grand Master shall preside, and in the absence of both, the most senior member present shall preside.

c. Quorum. The presence of the Grand Master, the Deputy Grand Master, or the most senior member and any three (3) other members shall constitute a quorum.

d. Meeting. The Board of Regents shall meet regularly every quarter on a date to be set by the Chairman, provided that notice shall be sent to each Board Member. Special Meetings may be called as often as necessary by the Chairman.

e. Powers of the Board of Regents. The Board of Regents shall exercise the following powers:

(1) To promulgate policies on the management and operation of the IMES;

(2) To exercise supervision and control over the IMES, its officers and staff;

(3) To approve the Budget of the IMES as recommended;

(4) To exercise such other powers as by tradition and practice belong to the Board of Regents of an Academic school.
